Bylaws

Article 1

The name of this association shall be the Kyushu Composers Association, and the secretariat shall be located at the residence of the Executive Director.

Article 2

The association shall be composed of composers residing in or originating from Kyushu and Okinawa, as well as those who support the association's mission.

Article 3

The association aims to contribute to the musical culture of Kyushu and Okinawa as well as musical cultures within and outside the region through composition activities. Members must maintain close communication and cooperation to contribute to the association's development and improvement.

Article 4

To achieve the purposes stated in the preceding article, the association shall undertake the following activities:

1. Hosting concerts, lectures, and training sessions.
2. Publishing newsletters.
3. Facilitating exchange among members and with domestic and international organizations.
4. Other activities necessary to achieve the association's purposes.

Article 5

The association shall have the following officers:

1. Chair: one person
2. Vice Chair: one person
3. Executive Director: one person
4. Treasurer: one person
5. Directors: several persons (including one director for international exchange)

Article 6

Officer terms shall be two years, though reappointment is permitted.

Article 7

Officers' duties shall be as follows:

1. The Chair shall represent the association and oversee all operations.
2. The Vice Chair shall assist the Chair and shall assume the Chair's duties in case of emergency.
3. The Executive Director shall oversee the association's administrative operations.
4. Directors shall be responsible for managing the association's operations.

Article 8

The Chair shall be elected from among members.

1. Detailed election procedures shall be established separately.

Article 9

The Vice Chair and Executive Director shall be recommended by the Board of Directors (including the Chair) and approved by the General Assembly.

Article 10

Directors shall be elected from among members.

1. Detailed election procedures shall be established separately.

Article 11

The Board of Directors shall be composed of the Chair, Vice Chair, Executive Director, Treasurer, and Directors.

Article 12

The Board of Directors shall be the decision-making body second only to the General Assembly and shall meet as necessary.

Article 13

The General Assembly shall convene once annually and shall deliberate on matters necessary for managing the association.

Article 14

The General Assembly shall be constituted by a majority of members.

Article 15

The association may have honorary members.

1. Details regarding honorary members shall be provided in separate bylaws.

Article 16

The association may have student members (including graduate students).

1. Details regarding student members shall be provided in separate bylaws.

Article 17

The association may have supporting members.

1. Details regarding supporting members shall be provided in separate bylaws.

Article 18

The association's expenses shall be covered by membership fees and other revenue.

Article 19

Two auditors shall be appointed to audit the association's accounts.

Article 20

Auditors shall be recommended by the Board of Directors and approved by the General Assembly.

Article 21

The association's fiscal year shall be from April 1 to March 31 of the following year.

[Bylaw 1] Membership and Membership Fees

1. Annual membership fees shall be ¥12,000 and shall be paid at the beginning of the fiscal year. Student member fees shall be ¥5,000 per year.
2. The enrollment fee shall be ¥5,000 and shall be paid at the time of enrollment. Student members are exempt from the enrollment fee.
3. To become a member, an applicant must receive recommendations from two members, submit the required membership application, and gain approval from the General Assembly.
4. Members aged 75 or older who have maintained continuous membership for 20 years or more may have their annual fees reduced to ¥6,000.
5. To submit works to concerts hosted by the association or to be invited as a guest composer or participant through the association, applicants must have no outstanding membership fee arrears for the relevant fiscal year.

[Bylaw 2] Election Procedures

Article 1: Officer election procedures shall be conducted in accordance with these bylaws, as stipulated in Articles 8 and 10 of the Association Rules.

Article 2: The election management committee shall handle necessary administrative matters for electing the Chair and Directors. The Executive Director shall appoint two election management committee members from among the membership.

Article 3: The Chair shall be elected by direct secret ballot of all members (with two candidates named on each ballot), with the person receiving the most valid votes being elected. If the top two candidates receive the same number of votes, the General Assembly shall hold a revote to decide.

Article 4: Directors shall be elected by district allocation by direct secret ballot of members, with those receiving the most valid votes being elected.

Article 5: If the elected Chair or Vice Chair overlaps with a district director position, the runner-up vote-getter from that district shall be elected as director.

Article 6: Notwithstanding Article 3, if the Chair deems it necessary, the Chair may additionally recommend up to two directors (one of whom must be the international exchange director). In such cases, approval from the General Assembly shall be required.

Article 7: District divisions and the number of district directors to be elected shall be as follows:

・Fukuoka District: 1 person
・Saga and Nagasaki District: 1 person
・Kumamoto District: 1 person
・Oita and Miyazaki District: 1 person
・Kagoshima and Okinawa District: 1 person
・Outside Kyushu District: 1 person

Article 8: If a director position becomes vacant, it shall be filled by mutual selection among members from the district with the vacancy.

[Bylaw 3] Honorary Members

1. Eligibility: Honorary membership shall be bestowed upon former chairs and those who have contributed significantly to the association's development over many years, recommended by two or more directors and approved by the General Assembly.
2. Benefits: Honorary members may have their membership fees reduced by half.
3. Revocation: Honorary membership may be revoked by General Assembly resolution if the member seriously damages the association's reputation.

[Bylaw 4] Member Service Allowances

1. Service allowances shall be granted to the following members:
・Chair, Vice Chair, Executive Director, Treasurer, Director for International Exchange

2. Service allowances shall be granted to members undertaking the following responsibilities:
・International exchange coordination
・Regular publicity activities such as website maintenance

3. Other service allowances necessary for smooth association operations may be granted as needed.

[Bylaw 5] Withdrawal from Membership

Members wishing to withdraw shall pay any outstanding membership fees and submit a withdrawal notice.

[Bylaw 6] Expulsion from Membership

Members may be expelled by General Assembly resolution if they:

1. Seriously damage the association's reputation.
2. Have five or more years of unpaid membership fees.

[Bylaw 7] Suspended Membership

1. Members on suspended status may receive newsletters and other information on the condition of paying half the annual membership fee, though they shall not have voting rights.
2. Members wishing to suspend membership shall pay any outstanding membership fees and submit a suspension notice.

[Bylaw 8] Supporting Members

Organizations or individuals supporting the association's mission and paying the required annual fee shall be designated as supporting members. 1. (Annual Fees) Supporting member fees shall be ¥10,000 per unit for organizations and ¥3,000 for individual supporters.
2. (Benefits) Supporting members receive invitations to association-hosted events, the Journal, and in the case of organizational supporters, their organization's name listed in association event programs.

[Supplementary Provision 1] These bylaws shall take effect with the establishment of the association on December 1, 1979.
[Supplementary Provision 2] These bylaws and detailed rules shall take effect on April 1, 2006.
[Supplementary Provision 3] These bylaws and detailed rules shall take effect on April 1, 2013.
[Supplementary Provision 4] These bylaws and detailed rules shall take effect on October 1, 2019.
[Supplementary Provision 5] These bylaws and detailed rules shall take effect on July 1, 2021.
